Mr. Sameh Khodeir, Senior Partner, is Head of the Oil & Gas Department at ZH&P. Since joining the Firm in 1982, he has been applying his skilled legal expertise to the fields of oil & gas, energy, mining, project financing, litigation, international commercial arbitration, taxation law, labor law, and the structuring and restructuring of companies and activities.
His professional track record includes 30+ concession agreements, 40+ deeds of assignments, and an extensive number of settlement agreements for oil & gas disputes as well as arbitration in petroleum activities explorations and production (E&P). The most recent arbitration Mr. Khodeir has handled had a disputed value of US$ 200 million over the supply of crude oil. In February 2015, the award was ruled in favor of ZH&P’s client.
With an accumulated experience of over 41 years, other selected examples of Mr. Khodeir’s expertise include:
• Legal structuring design and implementation of Union Fenosa’s US $ 1.4 Billion Damietta Project (first LNG project in Egypt) - 2000
• Legal Advisor to INVP from construction to hand-over of the Second Nuclear Research Reactor and the Radioisotopes Project in Egypt – 2007 & 2015
• Review of the Syndicated Loan Agreement granted by Credit Agricole Indosuez, Sucursal in Spain, the Royal Bank of Scotland PLC, and Royal Bank of Canada for US$ 600 million, in connection with Union Fenosa LNG Project - 2000/2001.
• Special Advisor to the Egyptian General Petroleum Corporation (EGPC) in a US $1.55 billion forward Sale Contract of Crude Oil arranged by Morgan Stanley - 2005
Mr. Khodeir has acted as the legal advisor for multi-national Investments in Egypt operating in the sectors of oil & gas exploration and production (e.g. IEOC, Apache, Sipetorl – among others), petroleum services in drilling and services contracts (e.g. Schlumberger, SantaFe - which became Shelf Drilling, among others), mining, pharmaceuticals (e.g. NOVARTIS, Otsuka – among others), trading (such as Cargill), and international organizations such as JETRO, JICA, and JBIC – among others).
Furthermore, He has also acted as Special Legal Advisor to EGPC, the Egyptian Natural Gas Holding Company (EGAS), and Petroleum Companies on specific transactions with values ranging between US$ 1.550.000.000 and US$ 850 million. He has also been entrusted by EGPC and EGAS to act as their special advisor in bank guarantee agreements (security agreements).
Mr. Khodeir adeptly maintains solid long-standing relation with his clients. He has been the legal advisor to IEOC since 1984, Santa Fe since 1984 and through its merger and acquisition by Transocean, Alitalia (Egypt) since 1983, Le Meridien Hotel since 1988, the Four Seasons Hotel in Cairo since 2011, EGPC since 1985 - among others.
He is member of the Egyptian Association for International Law; the Egyptian Association for Politics, Economics, Statistics and Legislation; the Legal Core Committee of the American Chamber of Egypt, the Egyptian Lebanese Business Association; and the British Egyptian Business Association. He is also a member of the BOD of the Japanese-Egyptian Business Council. He is proficient in Arabic and English.
He also lectures as a practitioner in universities and institutions. An example of which is the invitation extended to him by Harvard Law School in 2010 whereby he has lectured post-graduate students about the legal regime for oil and gas in Egypt.
He was cited by Legal 500 EMEA for the year 2016 as “[having] long experience in this [Oil & Gas] industry sector, and a reputation for quality”.
Mr. Khodeir has achieved his LL.B. from Cairo University’s Faculty of Law in 1975.
