Ms. Aya Attia, Senior Associate, joined ZH&P in 2018 with a diversified legal experience in Corporate Law, Capital Market Law, M&A, Arbitration, Litigation, Civil Law, Labor Law, and Commercial and Business Law.
Ms. Attia’s professional track includes taking part in
- Drafting legal opinions and corporate governance guidance for business operation for clients such as Beltone financial, Grohe, Vodafone, Naval Group, Alstom, Global Auto, Alpla Taba, Bee’ah Group, Al-Ahly Capital, Batelco, CORPLEASE – among others.
- Advising on the 8th and 11th Securitization Bonds issuance of the Egyptian Securitization Company (CORPLEASE). (2019 and 2021 respectively)
- Advising on the 2nd Securitization Bonds Issuance of EFG Hermes for Madinet Nasr for Housing and Development. (2019)
- Finalizing Securitization transactions before the competent authorities along with drafting all related agreements.
- Finalizing the required procedures of capital increase and decrease of companies before the required authorities - either in Cash, in kind, distribution of dividends or Employees Stock Option Plans (ESOP).
- Establishing and incorporating all types of companies and legal entities in Egypt.
- Advising Beeah Group on Sharm El Sheikh Services Agreement for cleaning and waste collection
- Advising Beeah Group on ACUD Waste Collection and Management Agreement. (2020-2021)
- Drafting Shareholders Agreements, Joint ventures agreements, Share Purchase Agreements and Management and Escrow Agreements
- Listing Companies before the Egyptian Stock Market and finalizing the Dual Listing procedures
- Drafting Lease, Sale, Loan, Franchise, Distribution, Agency, Supply and Services agreements.
- Finalizing the registration and the dematerialization of joint-stock Companies shares at the Central Depository System at Misr for Central Clearing, Depository and Registry (MCDR) and drafting all the related forms and certificates for clients such as AIG, EL Canal Sugar, Alpla Taba, Seha Scan, Naval Group, Diversy, BPE, OTIS, Sanita, Network Egypt – among others
- Opining on all matters related to the companies’ and shareholders’ activities at MCDR
- Finalizing the Dividends Distribution procedures through MCDR for the registered companies.
- Running required procedures in the Civil and Commercial litigation, as attending the Court Hearings and drafting pleadings.
- Drafting all the required documents in Arbitration cases.
She is member of the Egyptian Bar Association and L’Association des Juristes Francophone (AEJF) since 2016 – and is proficient in Arabic, English, and French.
Ms. Attia achieved the LL.B. from the Faculty of Law (English section) of Cairo University, Egypt, in 2013 and a Diploma in International Trade from Ain Shams University, Egypt, in 2018.
