Zaki Hashem & Partners is pleased to act as the legal counsel to Ebtikar Holding for Financial Investments SAE in relation to the contemplated subscription by Vodafone Egypt Telecommunications in a 20% stake in each of Masary and Bee, Ebtikar’s electronic payment subsidiaries and two of the leading e-payment solution providers in the Egyptian market for the past decade.

A term sheet was signed on Tuesday 23 February 2021. The process of completing the Transaction has commenced and the parties are progressing towards reaching the definitive agreement as soon as possible. This transaction when completed will contribute to the financial inclusion of the Egyptian people as well as aiding in the digitization of the Egyptian economy.

Zaki Hashem & Partners Legal Advisor to the Egyptian Securitization Company in its Tenth Securitized Bond Issuance

Zaki Hashem & Partners (ZH&P), Attorneys at Law, acted as the Legal Advisor in the successful placement of the Tenth securitized bond issuance by CI Capital’s Corporate Leasing Company Egypt SAE “Corplease”. The bond issuance amounts EGP 2.7 billion and is considered as the largest securitized bond issuance by the private sector. It is also the largest of its kind for a company that is engaged in non-banking financial activities.

Misr Capital Investments SAE, the financial arm of Banque Misr, acted as the Issuance’s Manager, Financial Advisor, and Promoter. The Guarantors of this issuance are Banque Misr, Misr Capital, Banque du Caire and Suez Canal Bank. Banque Misr also acted as the Custodian of the issuance.

Zaki Hashem & Partners had also acted as the Legal Advisor to Corplease in its 4th, 5th, 6th, 7th, and 8th, and 10th securitization bond issuances.
