Senior Associate

Khalid Al Melegi, Senior Associate, joined ZH in 2021 after having practiced at a leading Egyptian law firm for over three years. with a special focus on the corporate practice, mergers and acquisitions, and banking and finance, he is well-versed in drafting, negotiating, restructuring, and reviewing corporate agreements (joint ventures, share purchase agreements, management agreements) - as well as other commercial agreements including supply, manufacturing, and distribution agreements in various fields.

Furthermore, he has advised clients in relation to the funding of various startups through subscription agreements. He is also well-versed in drafting buy or sell-side due diligence reports on companies working in different fields of business and has participated in various acquisitions. He also takes part in advising on banking and finance matters, particularly project finance, and has advised in Egypt’s first issuance of Islamic Sukuk Offering.

With a fast growing experience record of seven years, selected examples of the matters he has taken part in include:

  • Advising the shareholders of Logistica SAE on the ca. EGP 1 billion sale of 100% of their shares. (In progress)
  • Advising Areeba Egypt for Electronic Payment Services SAE in the EGP 46.5 million acquisition of the entire share capital of Tal2a Pay LLC. (In progress)
  • Advising a local client in the negotiations and drafting of the transaction documents in relation to both the manufacture and import of vehicles in Egypt. (In progress)
  • Advising Antipollution Egypt SAE on the entry into a USD 15 million waste management & services agreement with the Red Sea Port Authority. (2024)
  • Advising Evergrow Egypt in the intercreditor facility agreement of EGP 12 billion. (2023)
  • Advising Ali Alghanim International in the USD 50 million and EGP 1.48 billion (USD 48 m) acquisition of Auto Mobility and the appointment of Auto Mobility as a manufacturer and distributor of Geely vehicles in the Egyptian Market. (2023)
  • Advising Auto Mobility LLC in entering into USD 225 million assembly agreements with Geely Automobile International Corporation. (2023)
  • Advising the joint lead managers in Egypt’s first issuance of Islamic Sukuk Offering amounting to USD 1,500,000,000 under its Sukuk Programme with a size of USD 5,000,000,000. (2023)
  • Advising Antipollution Egypt SAE on port reception facilities & waste management contract with Suez Canal Authority – with an investment value of ca. USD 150 million. (2023)
  • Advising Ali Alghanim & Sons Automotive and Global Auto on the acquisition of Bavarian Auto Group’s shares, including the drafting of the transaction documents in relation to both the manufacture and import of BMW vehicles. (2022)
  • Advising Raya Holding for Financial Investments in its direct and indirect acquisition of 300,000 shares in Haier-Raya Electric for a total value of EGP 47,742,000. (2022)
  • Advising All for One Group SE in the acquisition of a majority stake in Poet Egypt LLC. (2022)
  • Advising a leading construction group company with respect to its acquisition of a stake in an Egyptian sports company (including negotiating and drafting all related transaction documentation). (2022)

Khalid is member of the Egyptian Bar Association since 2014 and was admitted before the Court of First Instance in 2018. He is fluent in Arabic and English.

He obtained the LL.B. from the Faculty of Law (English Section), Cairo University, in 2014 as well as the LL.M. in Corporate and Financial Law from the University of Glasgow in 2017 with a dissertation on “The Legal Nature of Bitcoin and Altcoins” that got published in the inaugural copy of the FinTech Edition 2018 (online academic and professional research journal).
