Nour Ossama, Senior Associate, joined ZH in 2017 with a special focus on the corporate practice, mergers and acquisitions, projects, renewable energy, capital markets, commercial and franchise.
She has acquired multinational experience in a leading multinational company based in France with a focus on the franchise industry. She is well-versed in drafting, reviewing, and negotiating corporate agreements (joint ventures, share purchase agreements, management agreements) and other different types of commercial agreements – including operation and maintenance, franchise, service lease, and farming agreements.
Nour is also experienced in drafting and preparing due diligence reports on companies working in different fields of business and has participated in various acquisitions and infrastructure projects.

- Advising the Consortium of British investors in the USD 8 billion Al Alamein Petrochemical Project. (In progress)
- Advising CVentures in the subscription for series seed preferred shares in Intella and in the subscription to new shares in Khazna during the Series A funding round. (2022)
- Advising “Avanz Capital” (United States) and a group of state-owned banks led by the National Bank of Egypt) in establishing “Avanz Manara for Direct Investment” – an Egyptian vehicle investing in small and medium enterprises to be the first company with a GP/LP structure working in this field. - Advising C Ventures in the subscription for series seed preferred shares in Intella (USD 700,000) and in the subscription to new shares in Khazna (USD 38 million) during the Series A funding round. (2022)
- Advising Egypt Ventures in the USD 10,000,000 acquisition of a minority stake in Penta-B for GIS. (2022)
- Advising All for One Group SE in the acquisition of a majority stake in Poet Egypt LLC. (2022)
- Advising a group of shareholders and BPE Partners SAE in the acquisition of 51% of the shares of the Egyptian IVF Center and related assets. (2021)
- Representing the Commercial International Bank in its acquisition of a 12% stake in Egypt Otsuka Pharmaceutical Co. (2020)
- Advising France’s RATP Group in the Cairo Metro Line 3 Project. (2018 / 2019)
- Advising Holding Co. for Maritime & Land Transport and the Alexandria Port Authority have in floating 30% stake in Alexandria Container and Cargo Handling Company on the Egyptian Exchange (EGX) through a secondary offering, as well as coordinating on the legal due diligence conducted on Alexandria Container and Cargo Handling Company. - Supporting one of Egypt’s leading commercial banks in two major acquisitions. (2018 / 2019)
- Advising Canal Sugar in its project of the commissioning, operation and maintenance of a solar power plant, in cooperation with a leading operator and energy provider. (2019)
- Advising BPE Partners and Ebtikar for Financial Investment in their collaboration with Vitas Group, which included drafting and negotiating different types of agreements including advisory agreement, franchise agreement, software license purchase agreement, share purchase agreement and option agreement. - Assisting a corporate venture capital firm affiliated to the Commercial International Bank (CIB) in acquiring minority stake in off-shore companies working in the financial technology and fin-tech industry. (2019)
- Supporting the French company Ecoslops S.A. in establishing and operating a collection and treatment plant of shipping slops and sludge in the Suez Canal Economic Zone. (2017 / 2018)
- Supporting the local subsidiary of a European world leader in petroleum oil distribution in re-drafting all commercial and business-related contracts in bilingual (English/Arabic). (2017)
- Advising several clients and provided legal memorandums with respect to the renewable energy field.
- Representing a client in its acquisition of an Egyptian company for glass manufacturing through a mandatory tender offer. (2017 / 2018)
- Advising an investor in its acquisition of primary and secondary shares in eye subspecialty centres and hospitals, being a coordinator of a due diligence conducted on three companies and drafting and negotiating transaction agreements. (2017 / 2018)
- Supporting CIB Mortgage Finance in drafting service consultancy, secondment and service level agreements. (2018)
- Member of the team advising Mediterranean Capital Partners on the Acquisition of Cairo Scan. (2017 / 2018)

Nour is member of the Egyptian Bar Association since 2016 and was admitted before the Court of First Instance in 2020. She is proficient in Arabic, English, French, and Spanish.
She has achieved the LL.B. from University Paris 1- Pantheon Sorbonne (2013) and the LL.B. from Cairo University’s Faculty of Law (2014). She also holds a Master I degree from University of Paris 1 Pantheon Sorbonne in International and European Business Law (2014) and a Master II degree from University of Toulouse -1 Capitole (2016) in International Business Law.
