ZH advises HSA Group on acquisition of Kellanova’s shares in Bisco-Misr

We are pleased to announce that we are advising Hayel Saeed Anam & Co. (HSA Group), a multi-billion-dollar diversified business conglomerate, on its acquisition of Kellanova’s shares in Bisco-Misr, one of the largest and oldest biscuits companies in Egypt.

Kellanova, the majority shareholder of Bisco-Misr, has entered into a Share Sale and Purchase Agreement (SPA) with HSA Group, and the transaction is currently pending regulatory approvals.

The drafting and negotiation of Transaction Documents was led by our Partner, Arig Ali, with the invaluable assistance of Lana AbdelRassoul, Senior Associate.

Our Partner Soha Elezaby will undertake all legal procedures in relation to the launch of the Mandatory Tender Offer on EGX, together with our Head of Capital Markets & Corporate Procedures, Helal El HOSSARY.
