Senior Associate

Lana Abd El-Rassoul, Senior Associate, had joined ZH in 2015 through 2018 and then re-joined the Firm from 2021. With a special focus on the corporate practice, mergers & acquisitions, private equity, technology and commercial, she is well-versed in drafting, reviewing and negotiating corporate agreements (joint venture agreements, shareholders’ agreements, management agreements, etc.) and other types of commercial agreements such as consultancy and service agreements and distribution agreements - among others. she is also experienced in drafting and preparing legal due diligence reports on companies and has participated in various acquisitions and initial public offerings.

  • Advising B Investments Holding SAE in relation to the investment of the Sovereign Fund of Egypt through its healthcare and pharmaceutical sub-fund (TSFE Sub-Fund) in B Healthcare Investments SAE. (2023)
  • Advising the Commercial International Bank (Egypt) on the USD 40 million Share Purchase Agreement entered with the founding shareholders of Mayfair CIB Bank Limited (Kenya). (2023)
  • Advising a leading construction group company with respect to its participation in a fund having a purpose of investing in emerging start-up and scale-up financial technology companies primarily active in Egypt (including reviewing fund documentations and negotiating and drafting a side letter related thereof) in the Netherlands.   • Advising a leading construction group company with respect to its acquisition of a stake in a digital agency company (including negotiating and drafting all related transaction documentations). (2022)
  • Advising a leading construction company in relation to the establishment of one of the first venture studios in Egypt in association with a number of seasoned renowned businessmen and a digital agency (including negotiating and drafting all related transaction documentations). (2022)
  • Advising Ebtikar Holding for Financial Services SAE with respect to Vodafone Egypt Telecommunications SAE’s subscription in a stake of the share capital of Ebtikar’s non-banking financial services subsidiaries and taking over the management of these subsidiaries (including negotiating, reviewing and/or drafting all related transaction documentations).   • Providing the World Bank with a report on the proposed revision of the legal framework in Egypt of the Private Equity and Venture Capital funds. (2022)
  • Advising the majority shareholder of an Egyptian company that owns renowned nurseries in Egypt with respect to the sale of a stake in the company (including negotiating and reviewing all related transaction documentations). (2021)
  • Advising a leading consultancy company with respect to various consultancy and service agreements (and non-disclosure agreements) with customers. (2021)
  • Advising a multinational agricultural technology company with respect to the establishment of an Egyptian joint venture (including negotiating and drafting the joint venture agreement related thereof). (2021)
  • Advising a leading construction group company with respect to its acquisition of a stake in an Egyptian FMCG company (including negotiating and drafting all related transaction documentations). (2021)
  • Advising a leading construction group company with respect to its participation in a renowned fund in the Cayman Islands and a single fund in the Netherlands (including reviewing fund documentations, negotiating, and drafting a side letter related thereof). (2021)
  • Advising the Egyptian company of a multinational petroleum company with respect to its legal enquiries including employment and commercial matters, among other matters. (2021)
  • Drafting various legal opinions to clients including in the corporate and public procurement fields. (2021)

She is member of the Egyptian Bar Association since 2015 and was admitted before the First Instance Court in 2017. She is fluent in Arabic, English, and French.

Lana achieved the French LL.B. from Paris 1 Panthéon-Sorbonne in 2012 and the Egyptian LL.B. from Cairo University in 2013. She also holds a Masters I degree in International and European Business Law from University of Paris 1 Pantheon Sorbonne (2013) as well as a Masters II degree in International Business Law from University of Toulouse -1 Capitole (2014).
