Tarek El Erian, Senior Associate, joined ZH in 2011 for four years and re-joined the Firm in 2020. In the period between 2015 and 2020, Tarek joined Dechert LLP and Clifford Chance - both in New York City, USA. Mergers and Acquisitions/Private Equity
- Advised EBRD on its investment with other co-investors in acquiring GlobalCorp for Financial Services SAE. (2022)
- Advised EBRD on its USD 100 million investment with other co-investors in a major leasing company. (2022)
- Advised NClude Fintech Innovation Fund LP in the co-investment of USD 12,375,000 into Mozare3. (2022)
- Advised One Equity Partners (a leading middle market private equity firm) and PeroxyChem, LLC (a leading global manufacturer and supplier of peroxygen chemistries) in the sale by OEP of PeroxyChem to Evonik Industries, AG (a German-based publicly traded global specialty chemical company) for USD 625 million.
- Advised Laboratoire HRA Pharma (a portfolio company jointly backed by European private equity group Astrog Partners and Goldman Sachs Merchant Banking Division) on its planned acquisition of the global rights to the Mederma brand from Merz Pharmaceuticals GmbH.
- Advised GIC (the sovereign wealth fund of Singapore) in its role in the acquisition by a Blackstone-led consortium of a majority stake in Refinitiv (f/k/a Thomson Reuters’ Financial & Risk business). The total investment is valued at USD 17 billion and was noted by Mergermarket and Law360 as “the largest private equity deal signed during the first six months of 2018.”
- Advised Griffon Corporation (a publicly traded diversified holding company) in its USD 200 million acquisition of ClosetMaid Corporation (a market leader of home storage and organization products) from Emerson Electric Co.
- Represented HVAC Holdco, LLC (an entity controlled by private equity firm Sterling Investment Partners) in its sale of Service Logic (one of the largest providers of aftermarket maintenance, repair and replacement services for commercial HVAC equipment) to affiliates of private equity firm Warburg Pincus.
- Advised a group of lenders in the origination of two mortgage loans in the combined principal amount of USD 2.475 billion, secured by two portfolios totaling 145 assets throughout the US.
- Advised SK hynix Inc., as a member of a consortium, in the two trillion yen (approx. USD 18 billion) acquisition of Japan-based Toshiba Corporation’s NAND flash memory and solid-state drive business.
General Corporate
- Worked with a team of associates in a project involving the review of non-disclosure agreements in connection with potential acquisitions for a private equity fund.
Restructuring/Reorganizations/Recapitalizations
- Represented Aurelius Capital Management, LP, and Alden Global Capital LLC, the largest noteholders of OAS, S.A., one of the largest Brazilian engineering and construction companies, and its affiliates, in connection with a Chapter 15 case in the Southern District of New York, currently in insolvency proceedings in Brazil and the British Virgin Islands. Advised on the equity restructuring.
- Represented an investment company as lender in connection with a second-lien debt refinancing. Advised on the equity side.
He is a member of the Egyptian Bar Association since 2012, a member of the New York Bar Association since 2017, and was admitted before the Egyptian Court of Appeal in 2021. He is fluent in Arabic, German, and English.
Tarek achieved the LL.B. from Cairo University’s Faculty of Law in 2011, the LL.M. in International and Comparative Law from American University in Cairo in 2015, the LL.M. in Business and Transactional Law from University of Pennsylvania Law School, USA, in 2016, and a Business and Law Certificate from the Wharton Business School, USA, in 2016. He was also his Penn Law and Wharton Business School Class Speaker.
